Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the Clarity.Do application and website (collectively, the "Service") operated by Clarity.Do LLC ("we", "our", or "us"). By accessing or using Clarity.Do, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Description of Service

Clarity.Do is a task management platform that helps you organize, prioritize, and track your tasks and projects. The Service includes web, iOS, and macOS applications, with additional platforms planned.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify users of significant changes in advance.

3. Minimum Age

You must be at least 13 years of age to use Clarity.Do. In jurisdictions where the General Data Protection Regulation (GDPR) applies, the minimum age is 16. By creating an account, you represent that you meet the applicable minimum age requirement.

4. Account Registration

To use Clarity.Do, you must create an account with a username and password. You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activity that occurs under your account.
  • Notifying us immediately if you suspect unauthorized access to your account.

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised.

5. Use of the Service

Clarity.Do provides task management tools including task creation, organization, synchronization, and related features. You agree to use the Service in accordance with applicable laws and these Terms.

You may not:

  • Use the Service for any unlawful purpose or in violation of any applicable law.
  • Attempt to gain unauthorized access to our systems, other users' accounts, or data.
  • Interfere with, disrupt, or place an unreasonable burden on the Service or its infrastructure.
  • Use automated means (bots, scrapers, crawlers) to access the Service without prior written consent.
  • Transmit viruses, malware, or other harmful code through the Service.
  • Upload, post, or transmit content that infringes on the intellectual property rights of others.
  • Post content that is abusive, threatening, harassing, or unlawful in nature.
  • Attempt to reverse engineer, decompile, disassemble, or derive the source code of any part of the Service.
  • Sublicense, resell, or redistribute the Service or any part thereof.

6. Your Content

You retain full ownership of all tasks, descriptions, and other content you create in Clarity.Do ("Your Content"). We do not claim any ownership rights over Your Content.

By using the Service, you grant us a limited, non-exclusive license to store, process, and transmit Your Content solely to provide, maintain, and improve the Service. This license terminates when you delete Your Content or your account.

You are responsible for maintaining your own backups of Your Content. While we implement reasonable security measures and data redundancy, we cannot guarantee that your data will be completely secure from unauthorized access, loss, or corruption.

7. Beginner, Pro, and Premium Plans

Clarity.Do offers three subscription tiers:

  • Beginner Plan: Free. Includes core task management features with a limit of up to 1,000 tasks and 1 connected device.
  • Pro Plan: $0.99/month or $9.99/year. Includes everything in Beginner, plus unlimited tasks, the priority matrix, and real-time sync on up to 3 devices.
  • Premium Plan: $4.99/month or $49.99/year. Includes everything in Pro, plus recurrence, completion history with undo, daily digest emails, calendar feed export, extended history retention, and unlimited devices.

We reserve the right to modify which features are included in each tier. If we make material changes that reduce the functionality of your current plan, we will provide reasonable advance notice.

8. Payment and Billing

Pro and Premium subscriptions may be purchased through the Apple App Store, Google Play Store, Microsoft Store, or directly through our website. Payment terms are as follows:

  • Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
  • For app store purchases, billing is managed by the respective app store according to their terms and policies.
  • For web purchases, you will be billed at the beginning of each billing period. You may cancel at any time, and your Pro or Premium access will continue until the end of the current billing period.
  • We reserve the right to change subscription pricing with reasonable advance notice. Price changes will apply at the start of your next billing period.

9. Refund Policy

Our refund policy varies by purchase method:

  • App Store Purchases: Refunds for subscriptions purchased through the Apple App Store, Google Play Store, or Microsoft Store are handled by the respective store according to their refund policies. Please contact the relevant store for refund requests.
  • Web Purchases: Web subscriptions may be refunded within 14 days of the initial purchase. No refunds are issued for renewal periods. You may cancel your subscription at any time before the next billing cycle to prevent future charges. Residents of the European Economic Area and United Kingdom retain their statutory withdrawal rights where applicable.

10. Availability

We strive to keep Clarity.Do available at all times, but we do not guarantee uninterrupted, error-free access to the Service. The Service may be temporarily unavailable due to:

  • Scheduled or emergency maintenance.
  • Software updates and deployments.
  • Infrastructure issues or circumstances beyond our control.

We will make reasonable efforts to provide advance notice of scheduled downtime when possible.

The Service may contain bugs or defects. While we do not guarantee that the Service will be free of bugs, we will use reasonable efforts to address reported issues.

Our standard response time is 24 to 72 hours.

12. Promotional Materials

Demo features, screenshots, and other promotional materials displayed on our website, the Apple App Store, Google Play Store, Microsoft Store, or other platforms may not reflect the current version of the application. The actual user interface, features, and functionality of the Service may differ from what is shown in promotional materials and are subject to change at any time.

13. Intellectual Property

The Clarity.Do application, website, brand, logo, design, source code, documentation, and all related materials are the exclusive property of Clarity.Do LLC and are protected by applicable intellectual property laws.

These Terms do not grant you any rights to use our trademarks, trade names, logos, or other brand features without prior written consent. Nothing in these Terms transfers any intellectual property rights from us to you beyond the limited right to use the Service as described herein.

14. Data and Privacy

Your use of Clarity.Do is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

15. Termination

You may delete your account at any time through the application or by contacting us. Upon account deletion:

  • Your active tasks and personal data will be scheduled for permanent deletion in accordance with our data retention policies.
  • Any active Pro or Premium subscription should be cancelled separately through the relevant app store or billing provider.

We may suspend or terminate your account, without prior notice, if you violate these Terms or engage in conduct that we reasonably believe is harmful to other users, us, or third parties. We will make reasonable efforts to notify you of the reason for suspension or termination.

16. Account Inactivity and Abandonment

Beginner accounts that have been inactive for 3 months or more are deemed abandoned. Pro and Premium subscriptions that are not renewed will be downgraded to Beginner accounts at the end of the billing period. Abandoned accounts and their associated data may be deleted without notice.

Inactivity is defined as the absence of any login, task creation, task modification, or sync activity on the account.

17. Third-Party App Stores

If you download or purchase Clarity.Do through a third-party app store (Apple App Store, Google Play Store, or Microsoft Store), you acknowledge that:

  • These Terms are between you and Clarity.Do LLC, not the app store provider.
  • The app store provider has no obligation to provide maintenance or support for the application.
  • The app store provider is not responsible for addressing any claims related to the application.
  • You must also comply with the applicable app store terms of service.
  • The app store provider and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

18. Limitation of Liability

To the fullest extent permitted by applicable law:

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Clarity.Do LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, profits, revenue, or business opportunities, arising from or related to your use of the Service.
  • Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

19. Indemnification

You agree to indemnify, defend, and hold harmless Clarity.Do LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use or misuse of the Service.
  • Your violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Your Content or any activity under your account.

20. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding individual arbitration, except where prohibited by applicable law. By agreeing to these Terms, you waive your right to participate in class actions, class arbitrations, or any other representative proceedings.

Arbitration shall be conducted by a recognized arbitration body under its then-current rules. The arbitration shall take place in Sheridan County, Wyoming, or at a mutually agreed location. The arbitrator's decision shall be final and binding.

Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction for matters relating to intellectual property rights or unauthorized access to the Service.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of laws provisions. Any legal proceedings not subject to arbitration shall be brought exclusively in the state or federal courts located in Sheridan County, Wyoming.

22. Force Majeure

Clarity.Do LLC shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemics, wars, terrorism, labor disputes, power failures, internet or telecommunications outages, cyberattacks, or other force majeure events.

23. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

24. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Clarity.Do LLC regarding your use of the Service. These Terms supersede all prior and contemporaneous agreements, proposals, and communications, whether oral or written, relating to the subject matter herein.

25. Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations of the United States and other applicable jurisdictions. You may not use, export, or re-export the Service in violation of such laws, including to any country, entity, or individual subject to U.S. sanctions or export restrictions.

26. Changes to These Terms

We may update these Terms from time to time. When we make significant changes, we will:

  • Post the updated Terms on this page with a revised "Last updated" date.
  • Notify users through the application or via email where appropriate.

Your continued use of Clarity.Do after changes are posted constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you should discontinue use of the Service.
